Upload your contract

Drag and drop a PDF, Word document or scanned image of your subcontract. SubSync handles documents up to 200 pages. We accept the messy reality of construction paperwork — scanned signatures, marked-up clauses, separate annexures bundled together, photographs of pages. Optical character recognition runs automatically on image-based PDFs.

What we look at

The full document — annexures, scope, special conditions and any incorporated standards (AS 4902, AS 4903, AS 2124, custom head contractor templates).

What we don't

AI runs the analysis

Our models read every clause in context. We don't just keyword-match — we understand how a payment clause interacts with a retention clause, how an indemnity interacts with an insurance schedule, and how variation provisions interact with the dispute resolution path.

Each clause is scored against:

  • Australian Security of Payment Acts — state-by-state. NSW, VIC, QLD, WA, SA and the territories all have different rules.
  • Unfair Contract Terms regime under the Australian Consumer Law (post-2023 reforms).
  • Industry norms for retention, defects liability and insurance in Australian construction.
  • Risk transfer patterns — which party carries what, and whether the allocation is reasonable.

Analysis takes between two and five minutes for most documents.

Every flag includes a clause reference, a quoted excerpt, our analysis, and a suggested next step — usually "ask for a redline", "accept with eyes open", or "walk away".

Decide what to do

We give you the information. You make the call.

  1. 1Sign as-is — if the risk is acceptable for the value of the work and the relationship.
  2. 2Negotiate — use the report to ask the head contractor for specific redlines. You'll be surprised how often they agree.
  3. 3Walk away — if the contract is unfixable and the work isn't worth the exposure.

If a clause is so concerning that you'd want a lawyer's eyes on it, our report tells you that too. SubSync replaces the first $800 of a lawyer's review, not the last $200.

SubSync is decision-support software. It is not legal advice, and it does not replace a solicitor when you need one. We tell you when you need one.

We also don't tell you whether to sign. Plenty of "risky" contracts are perfectly acceptable depending on the margin, the relationship and the alternatives. You're the expert on your business — we just make sure you're going in with your eyes open.
